Kernel Panic: Fatal Error

I am trying to set up ESX 3.01 on the following box

CPU Intel dual core 2     1.86 ghz

Memory 2G ddr2 pc4200

Board  ECS pt 890t-a

Video pci express geoforce 6200 le

Hard drive sata samsung sp1213c

I can boot to my simple laptop but when I boot the  desktop I get this error code

Kernel Panic: Fatal Error

Any one know what could be the problem?
